(NYSE: BRDG) have entered into a definitive agreement for Apollo to acquire Bridge in an all-stock transaction valued at approximately $1.5 billion. Under the terms of the agreement, Bridge stockholders and Bridge OpCo unitholders will receive shares of Apollo stock valued at $11.50 per share of Bridge Class A common stock and Bridge OpCo Class A common unit, respectively.

The acquisition is expected to close in the third quarter of 2025, subject to customary regulatory approvals and other closing conditions. Following the transaction, Bridge will operate as a standalone platform within Apollo’s asset management business, retaining its brand, management team, and operational structure. This strategic move will significantly enhance Apollo’s real estate equity platform and origination capabilities in both real estate equity and credit.

Bridge Investment Group, with approximately $50 billion in assets under management, specializes in residential and industrial real estate as well as other niche asset classes. The transaction aligns with Apollo’s long-term growth strategy by providing immediate scale to its real estate operations and expanding its hybrid product offerings.
