We represented Banco Itaú BBA International, S.A., a Portuguese credit institution, in the successful transfer of its European wholesale banking operations from Lisbon to London via a "merger by absorption" under the European Companies (Cross-Border Mergers) Regulations 2007, resolving key legal uncertainties. The Co-operative Bank Representation of The Co-operative Bank on the £200 million Fixed Rate Reset Callable Subordinated Tier 2 Notes due 2029. This bond marks the first MREL-eligible debt issuance by a High Street lender in the UK. Softbank Representation of Softbank Vision Fund in its US$800 million equity investment in UK finance group Greensill, the largest European Fintech fundraising, and its investment in British fintech bank OakNorth, valuing the company at US$2.8 billion. Melbourne Metro Tunnel Representation of the Melbourne Metro Rail Authority on the AU$11 billion Melbourne Metro Rail Project. Advised on legal aspects, including contracts, PPP, procurement, and environmental issues. Award-winning project. SYNERAIL SYNERAIL refinanced the GSM-R PPP with SNCF Réseau, initially financed in 2010, via VINCI Concessions and SFR. The deal won "Europe Refinancing Telecoms/Digital Infrastructure - Transport Communications Deal of the Year" by IJGlobal 2021. Fujairah F3 Power Generation Representation of Emirates Water and Electricity Company (EWEC) on the development of the US$1.14 billion Fujairah F3 power generation plant having a net capacity of 2,400 MW together with a grid station and associated facilities. Pfizer competition litigation We have advised Pfizer for over 20 years, including successfully appealing a £84.2m fine by the CMA for excessive pricing. The CAT annulled the decision in 2018, and a lower £63.3m fine was reimposed in 2022. An appeal of this latest decision is pending. Delta Med S.p.A. acquisition We’re advising Delta Med S.p.A., a White Bridge Investments S.p.A. portfolio company focused on vascular access devices, in acquiring D.B.M. S.r.l., an Italian company in the medical device industry. Neopharmed note issuance and financing We’re advising Neopharmed Gentili, a leading Italian pharmaceutical company, on issuing €750 million in senior secured notes and entering a new €130 million revolving credit facility. Leading medical device company acquisition We advised a medical device company on a US$1 billion acquisition, focusing on upgrading the target's global compliance program. This included Foreign Corrupt Practices Act compliance, due diligence across four continents, interviews, and audits. Azul Airlines Out-of-Court Restructuring Representation of Azul Airlines in an out-of-court restructuring of approximately US$850 million of aircraft lease obligations, as well as obligations to original equipment manufacturers and bondholders. Proman first sustainable shipping fund Representation of Proman AG, a leading methanol producer, on a green loan ship financing for the launch of a sustainable shipping fund in partnership with Stena Bulk AB, a major European shipping company. JetBlue/Spirit Representation of JetBlue on a US$3.5 billion secured loan for its acquisition of Spirit Airlines. JetBlue and Spirit, both major carriers, ended the merger after losing an antitrust suit. BNDES on-lending transaction Representation of BNDES in a complex on-lending transaction involving three Embraer ERJ 190-100 LR aircraft, with multiple development banks and entities in the Middle East and Africa, including two regional airlines.
